Frasers Property vừa mua lại 75% Phú An Khang từ Trần Thái với giá khoảng 18 triệu đô. Không biết lô này ở đây vậy mọi người nhỉ. Vậy là có dự án gối đầu cho Q2  Thảo Điển rồi.

Phú An Khang này hình như còn lô 20ha đường Gò Cát quận 9.

    TERMINATION OF AGREEMENT RELATING TO THE ACQUISITION OF 75% OF THE ISSUED SHARE CAPITAL OF PHU AN KHANG REAL ESTATE JOINT STOCK COMPANY

    Frasers Property Limited (“FPL”, and together with its subsidiaries, the “Group”) refers to its announcement dated 27 April 2018 in relation to the conditional share purchase agreement (the “Agreement”) entered into between FPL’s indirect wholly-owned subsidiary, Frasers Property Investments (Vietnam) 1 Pte. Ltd. (“FPIV1”), and Tran Thai Lands Company Limited (“Tran Thai”) for the proposed acquisition by FPIV1 from Tran Thai of 24 million ordinary shares representing 75% of the issued share capital of Phu An Khang Real Estate Joint Stock Company (the “Proposed Acquisition”). Completion of the Proposed Acquisition was stated to have been subject to the fulfilment of the conditions set out in the Agreement.

    As the conditions precedent for the completion of the Proposed Acquisition have not been fulfilled by the long stop date agreed by the parties, FPIV1 and Tran Thai have mutually agreed to terminate the Agreement and have entered into a termination agreement to effect the termination of the Agreement as of 20 January 2021. Pursuant to the termination of the Agreement, Tran Thai has on 20 January 2021 refunded, in full, the deposit of VND40.86 billion (approximately S$2.35 million1) paid by FPIV1 in connection with the Proposed Acquisition.

    The termination of the Agreement is not expected to have a material effect on the net tangible assets or earnings per share of the Group for the current financial year.

      ACQUISITION OF 75% OF THE ISSUED SHARE CAPITAL OF PHU AN KHANG REAL ESTATE JOINT STOCK COMPANY

      Pursuant to Rule 704(17)(c) of the Listing Manual of the Singapore Exchange Securities Trading Limited, Frasers Property Limited (“FPL”, and together with its subsidiaries, the “Group”) wishes to announce that Frasers Property Investments (Vietnam) 1 Pte. Ltd. (“FPIV1”), an indirect wholly-owned subsidiary of FPL, has entered into a conditional share purchase agreement (the “Agreement”) with Tran Thai Lands Company Limited to acquire 24 million ordinary shares (the “Shares”), representing 75% of the issued share capital of Phu An Khang Real Estate Joint Stock Company (”PAK”) (the “Proposed Acquisition”). Completion of the Proposed Acquisition is subject to the fulfilment of the conditions set out in the Agreement. If the Proposed Acquisition is completed successfully, PAK will become a subsidiary of FPL.

      It is intended that PAK will undertake the development of a residential-cum-commercial project on a mixed-use development plot in District 2, Ho Chi Minh City, Vietnam (the “Property”) to be held by PAK.

      The aggregate consideration (the “Consideration”) for the Proposed Acquisition is VND 408.6 billion (equivalent to approximately S$23.89 million1). The Consideration was arrived at on a willing-buyer, willing-seller basis based on the estimated net asset value of PAK at completion, taking into account the value of the Property. The proforma net asset value of PAK based on unaudited financial statements of PAK is expected to be VND544.8 billion (approximately S$31.86 million1) on completion of the Proposed Acquisition. The Consideration is subject to adjustments in accordance with the terms of the Agreement. The Consideration will be fully satisfied in cash on the occurrence of stipulated events as set out in the Agreement and will be funded by the Group’s internal cash resources and/or external bank borrowings.

      The Proposed Acquisition is not expected to have a material effect on the net tangible assets per share or earnings per share of the Group for the current financial year.

      None of the directors or the controlling shareholders of FPL has any interest, direct or indirect, in the Proposed Acquisition.
